Terms of Service

1. Provider and scope

These terms govern every contract for the use of PingGuard between you and:

Your own conflicting terms do not become part of the contract unless we agree to them in writing. The German version of these terms is authoritative; this translation is provided for convenience.

2. The service

PingGuard monitors websites, APIs and background jobs (heartbeat or cron monitoring), checks SSL certificate expiry, detects content changes, alerts you through the channels you choose and hosts public status pages. The exact feature set follows the plan you book as set out on the pricing page, which forms part of this contract.

3. Conclusion of contract

The contract is concluded when you register an account and confirm your email address. For paid plans it is concluded when you complete checkout with our payment provider. You must be of legal age or a legal entity, and your registration details must be accurate.

4. Plans and prices

The free plan is available permanently and without payment details. Paid plans are billed monthly in advance. All prices are in euros. No VAT is charged under Sec. 19 of the German VAT Act (small business rule). We announce price changes at least 30 days in advance in text form; you may then terminate with effect from the date the change takes effect.

5. Payment

Payments are handled by Stripe Payments Europe, Ltd. Invoices are due on issue. If a payment fails we may, after notifying you, restrict access to paid features until payment is received. Invoices are provided electronically.

6. Term and cancellation

Paid contracts run for one month and renew automatically for a further month unless cancelled before the end of the current billing period. You can cancel at any time in your account, without giving reasons. Paid features stay available until the end of the period you paid for, after which the account returns to the free plan. Both parties may terminate for good cause. You can delete your account entirely at any time.

7. Right of withdrawal for consumers

Consumers have a 14-day right of withdrawal beginning on conclusion of the contract. A clear statement in text form to is sufficient, and sending it in time preserves the deadline. On a valid withdrawal we refund all payments received without undue delay and within 14 days at the latest, using the same payment method. The right lapses early if you expressly ask us to begin performance before the period ends and confirm that you understand you then lose it. Businesses have no right of withdrawal.

8. Acceptable use

• Monitor only addresses you control or are authorised to monitor.
• Do not use the service for load testing, denial-of-service attacks or any other interference with third-party systems.
• Keep credentials and API keys confidential and tell us immediately if you suspect misuse.
• Make sure content you publish on your status page does not infringe third-party rights.

For serious or repeated breaches we may suspend access after a warning, and without warning in severe cases.

9. Availability

We operate the service with due care and aim for high availability. A specific availability level is owed only where expressly agreed. We announce maintenance in advance where possible. Disruptions outside our control - at the data centre, network operators or the notification services you chose - do not constitute a defect.

10. Liability

We are liable without limitation for intent and gross negligence, for injury to life, body or health, under the German Product Liability Act, and to the extent of any guarantee we have given.

For slight negligence we are liable only for breach of a material contractual obligation - one whose fulfilment makes proper performance possible in the first place and on whose observance you may regularly rely - and then only for foreseeable damage typical of this type of contract. Liability for slight negligence is otherwise excluded.

You remain responsible for backing up your own data and operating your own systems. PingGuard is a supplementary monitoring tool and replaces neither your own operational monitoring nor your backups.

11. Data protection

See our privacy policy. Where we process personal data on your behalf, our data processing agreement applies and forms part of this contract.

12. Changes to these terms

We announce changes at least 30 days before they take effect in text form. If you do not object before they take effect they are deemed accepted, and we will point that out in the notice. If you object, either party may terminate with effect from the date of the change.

13. Final provisions

German law applies, excluding the UN Convention on Contracts for the International Sale of Goods. For consumers this choice applies only so far as it does not remove the protection of mandatory provisions of their country of residence. If you are a merchant or a legal entity under public law, the place of jurisdiction is our registered seat. If any provision is invalid, the remainder stays in force.
